问题#13:如果一个股东因为生病无法帮助管理公司会发生什么?

(What happens if a shareholder is simply sick and can’t help run the company?)

回答: 分清股东与理事或高级管理人员在公司中的角色是非常重要的。股东通常不参与经营管理公司。管理公司的是理事或高级管理人员,他们管理公司并获得薪水。简单的例子是,当你在证券交易所购买股票时,你就是股东。但你不能为公司管理做决定,你也得不到薪水。

如果股东同时也是公司的理事或高级管理人员,但有一些限制条款可能会让股东无法再参于日常管理。然而,如果没有股东协议,股东也不会被迫出售其股份. 公司在做重要决定时, 需要征得股东同意。即使没有股份持有协议,只要股东不是公司的关键人物,公司就会继续运作。

It is very important to distinguish a shareholder from a director or officer.  A shareholder is not normally involved in running a company.  It is the directors or officers that run the company and get paid salaries.  Look at it simply.  When you buy shares on a stock exchange, you are a shareholder.  You do not get to make decisions for the corporation and you do not get paid a salary.

If the shareholder is also a director or officer of the company, there are mechanisms in place that may allow the removal of the shareholder from these positions so that they are no longer required in day-to-day management.  However, without a Shareholder Agreement, the shareholder would not be forced to sell its shares and the company would still require the shareholder to consent to any large decisions.  Simply put, even without a SHA, the company would still function as long as the shareholder wasn’t also a key person of the company.

问题#14:如果股东生病了,股东还会收到钱吗?

(So if a shareholder gets sick, would the shareholder still receive money?)

Answer:  Once again, if a shareholder is a director or officer, then they may have an employment contract that will pay benefits if they are sick.  This is likely true for very big corporations.  But let’s look at a more basic situation.  Let’s assume there are only two shareholders and both acted as directors and officers.  The shareholders likely only paid themselves through dividends when the company was making money.  The shareholder never had a salary.  When the shareholder gets sick, the company suffers and the company no longer makes money.  No profits means no dividends and no dividends means no money for the sick shareholder.  This is why “key man” insurance exists so that the health of key employees or shareholders are insured.
