Mr. Tang

I have spent some free time reviewing your case brought by the SEC in Texas. I understand where the case presently stands.

I advise all of our clients that are in the position you are in to vigorously contest the SEC at every turn. There are a number of reasons

I give this advice, but the primary reason is that pushing back at the allegations brought by the SEC can end up giving you enormous benefits if the government tries to charge you criminally in the US. You have consented to a settlement, but no disgorgement or penalties have yet been fixed. The SEC may want to take your deposition and that can be a powerful tool for them to negatively impact your rights if a criminal investigation begins. The enforcement environment in the US is very tough right now.

My advice to you is to gear up to mount a formidable defense to further proceedings in the Texas case. If you want my firm’s assistance, I would be happy to send you a proposal on our fees and costs of defending you in Texas. This is our area of expertise.

I would also want to meet with you so that you and I have a chance to meet and get to know more about your background, experience, education and your trading skills. If we were to begin to act as your counsel in the SEC case in Texas, I will make a trip to Toronto

at your convenience.

Let me know what you chose to do.

Thank you.

Mr. Tang

I am enroute to New York today for two days of depositions in a securities case, so I may only be reachable by email. I have read your lengthy declaration in its entirety and it is quite a story. I am totally familiar with how regulators love to jump on the “Ponzi scheme” bandwagon and have a similar case now pending in Detroit federal court. I sympathize with your plight, but you need a concerted plan to expose the OSC and the SEC for what they are incompetent. That takes money and it takes expertise. You need some public relations help to start to turn the tide away from everyone presuming your are a schemer to exposing the incompetence of these regulators.

My law firm handles this sort of activity and representaion frequently in locations all over the US. We just turned down a case in Windor, CA so we are also seeing out firm gaining international traction. I deal frequently with the BCSC in Vancouver as  we have clients there as well.

Thanks
